These Terms of Service (Terms) govern your access to and use of the website at zantiro.com and any related pages, forms, event registrations, and services operated by Zantiro (together, the Services).

By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Who we are

The Services are operated by ZANTIRO VENTURES GLOBAL - FZCO (Zantiro, we, us, our), a UAE free zone company registered with Dubai Integrated Economic Zones Authority (DIEZA) and operating in Dubai Silicon Oasis, Dubai, United Arab Emirates.

2. Privacy

Our Privacy Policy explains how we collect and use personal data. By using the Services, you acknowledge that you have read it.

3. Eligibility and authority

You must be at least 18 years old to use the Services.

If you use the Services on behalf of a company or other organisation, you confirm you have authority to bind that organisation to these Terms.

4. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on our website and update the "Last updated" date. Your continued use of the Services after changes means you accept the updated Terms.

5. What Zantiro does and does not do

Zantiro operates as an incubator, accelerator, venture studio, and ecosystem platform.

5.1 No investment advice

Zantiro does not provide investment advice, legal advice, tax advice, or regulated financial services through the Services. Any content or communications are for general information only and are not professional advice.

5.2 No guarantee of outcomes

Using the Services or engaging with Zantiro does not guarantee selection into programmes, introductions, investment, funding, revenue, or any commercial outcome.

5.3 No agency

Zantiro does not act as your agent, broker, or representative in fundraising, investments, or commercial deals unless explicitly agreed in a separate written contract.

6. Accounts, forms, and communications

You may need to submit forms or provide details to access parts of the Services. You agree that information you provide will be accurate and kept up to date.

We may send operational communications, for example application updates and event logistics. Marketing communications are handled in line with your preferences.

7. Applications, submissions, and programme participation

7.1 Applications

We assess applications using internal criteria, which may change over time.

7.2 Your materials and IP

You retain ownership of your intellectual property in anything you submit, including pitch decks, documents, responses, and data (Submitted Materials).

You grant Zantiro a limited, non-exclusive, worldwide, royalty-free licence to use, reproduce, and share Submitted Materials only to:

• evaluate your application

• deliver programmes and support

• facilitate introductions you request or participate in

• maintain internal records, reporting, and audit trails

7.3 Sharing for evaluation and introductions

To operate an incubator and accelerator, we may share Submitted Materials with internal reviewers and selected mentors, investors, and partners for evaluation, feedback, and introductions.

You control what you submit. Do not submit trade secrets or highly sensitive information unless you are comfortable with the evaluation context, or you have agreed separate protections in writing.

7.4 Programme specific terms

If you are accepted into a programme, additional terms may apply, including fees, equity, deliverables, timelines, and participation rules. Those will be set out in a separate written agreement (Programme Agreement). If there is a conflict, the Programme Agreement prevails.

8. Events and community conduct

You agree not to harass, abuse, discriminate, misrepresent identity, or use the Services for unlawful activity, spam, or security abuse.

We may remove content, suspend access, or exclude participants who breach these standards.

9. Zantiro content and intellectual property

Zantiro content, including branding, templates, programme materials, text, graphics, and logos, is protected by intellectual property laws. You may not copy, distribute, modify, or create derivative works from Zantiro content without written permission, except where permitted by law.

10. Third party services and links

The Services may link to third party websites or tools. Zantiro does not control them and is not responsible for their content, security, or practices. Use them at your own risk and subject to their terms.

11. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available". We do not warrant uninterrupted, error free, or secure operation, nor the accuracy or completeness of any information provided through the Services.

12. Limitation of liability

To the maximum extent permitted by law, Zantiro is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities.

To the maximum extent permitted by law, Zantiro's total liability arising out of or relating to the Services will be limited to the greater of:

• AED 1,000, or

• the amount you paid to Zantiro for the relevant Services in the 3 months before the event giving rise to the claim (if any)

Nothing in these Terms limits liability that cannot be limited under applicable law, including fraud.

13. Indemnity

If you use the Services on behalf of a business, you agree to indemnify and hold harmless Zantiro from claims, liabilities, damages, and expenses arising from your breach of these Terms, your Submitted Materials, or your unlawful use of the Services.

14. Suspension and termination

We may suspend or terminate access if you breach these Terms, create risk, or where required by law. You may stop using the Services at any time.

Sections that should survive termination will survive, including IP, disclaimers, limitation of liability, indemnity, and governing law.

15. Governing law and jurisdiction

These Terms are governed by the laws of the United Arab Emirates, as applicable in the Emirate of Dubai.

The courts of Dubai, United Arab Emirates have jurisdiction to settle disputes arising out of or relating to these Terms, unless a Programme Agreement states otherwise in writing.
